- note that maxdz Software GmbH Software Products are regulated solely by the License agreements ("Licenses") under which they are sold or licensed.

- obtaining our Evaluation or Commercial licenses in our Shop using "Obtain for free" or Checkout functionality you agree to all of the terms and conditions of these Licenses.

- maxdz Software GmbH reserves the right to modify and update its Privacy Policy and "Website Terms" if necessary. If and when a change is made to our Privacy Policy or "Website Terms", this page will be updated to reflect the change. Your use of the "Website" after any changes means that you accept those changes.

- maxdz Software GmbH uses personal data according to terms in our "Privacy Policy".

- all intellectual property rights associated with the "Website" and its "Contents" are the sole property of maxdz Software GmbH. The "Content" is protected by International copyright laws.

- except for the rights of use and other rights expressly granted by these "Website Terms" and "Licenses", you may not copy, reproduce, modify, lease, loan, sell, create derivative works from, upload, transmit, or distribute the Intellectual Property of the "Website" in any manner without the prior written consent of maxdz Software GmbH.

- to the extent permitted by applicable law, in no event shall maxdz Software GmbH be liable for any special, incidental, indirect, or punitive and consequential damages (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the "Website" and associated "Content", even if maxdz Software GmbH has been advised of the possibility of such damages.

- the "Website Terms" shall be construed, interpreted and governed in accordance with the laws of Germany.

THESE TERMS OF SALE ("Terms") CONSITUTE A BINDING LEGAL CONTRACT BETWEEN maxdz Software GmbH ("We", "Our") AND YOU, THE PURCHASER ("You", "Your"). THESE TERMS APPLY TO ALL OFFERS, SALES AND PURCHASES OF SOFTWARE PRODUCTS ("Products") OR SERVICES ("Services") WE DIRECTLY PROVIDE THROUGH OUR ONLINE SHOP ("Store") ON OUR INTERNET SITE ("Site"). ORDERING ANY "Product" OR "Service" IN OUR "Store" INDICATES YOUR AGREEMENT TO ALL THESE "Terms".

- maxdz Software GmbH uses personal data obtained during your ordering/purchasing according to terms in our "Privacy Policy".

- our "Store" requires completing registration by providing us with current, complete and accurate information required by the applicable registration form and opening a member account. You may be required to accept a service agreement or separate terms of use as a condition of opening the account. You are responsible for keeping your account information and password confidential and are responsible for all activity that occurs under your account.

- you warrant that you will not use our "Store" for any purpose that is unlawful or prohibited by these "Terms". You may not use our "Store" in any manner that could damage, disable, overburden, or impair our "Site" or gain you unauthorized access to the "Store", other accounts through hacking, password mining or any other means.

- available "Products" and "Services" may vary depending on your region or device. In addition, there may be limits on where we can ship goods, or provide services or digital content.

- functional abilities of our Software are listed in our "Store" and also on Products pages on our "Site".

- you must be an end user to purchase "Products" and "Services" from our "Store". Resellers are not eligible to purchase.

- "Products" and "Services" acquired from the "Store" may be subject to customs and export control laws and regulations. You agree to comply with all applicable international and national laws and regulations.

- we may refuse or reject any order at any time, refunding you any payment you have made for the order, for reasons which include, but are not limited to, if you have not met the conditions specified at the time of the order, if your payment cannot be processed, if the ordered products or services are not available, or for pricing or other errors.

- our software and other digital content made available through our "Store" is licensed, not sold, to you. Software Licenses purchased in our "Store" are subject to the License Agreement that accompanies the software, and you agree to the License Agreement when you purchase, download or install the software.

- prices shown in our "Store" exclude taxes or charges ("Taxes") that may apply to your purchase. Prices shown in our "Store" also exclude payment costs. Taxes and payment costs (as applicable) will be added to the amount of your purchase and shown on the payment page. You are solely responsible for paying such Taxes and costs. Our "Products" are delivered digitally via downloading/email, thus there are no delivery costs.

- after clicking on PayPal "Buy Now" button your PayPal payment will be processed and if there are no irregularities License Information will be sent to you immediately by email.

- after clicking on "Buy" button for bank-transfer, you will be getting an invoice on your order. Only after payment for your order reaches our bank account License Information will be sent to you by email.

- you will be getting a Receipt after PayPal purchase and an Invoice for bank-transfer purchase.

- by purchasing our "Products" you agree that there will be no return or refund possibility. Please use Software decriptions on our "Site" and "Free Evaluation" licenses to check if the software corresponds your needs.

Software Products Evaluation License

IMPORTANT: READ THIS CAREFULLY BEFORE INSTALLING, USING OR ELECTRONICALLY ACCESSING THIS PROPRIETARY PRODUCT

THIS SOFTWARE EVALUATION LICENSE AGREEMENT ("EVALUATION AGREEMENT") IS A LEGAL AGREEMENT BETWEEN maxdz Software GmbH AND THE INDIVIDUAL OR THE BUSINESS ENTITY ("CUSTOMER") WHO HAS EXECUTED AN EVALUATION LICENSE APPLICATION FORM REFERENCING THIS AGREEMENT. BY EXECUTING AN ORDER FORM, "CUSTOMER" EXPRESSLY ACCEPTS AND AGREES TO THE TERMS OF THIS AGREEMENT. IF YOU ARE AN INDIVIDUAL AGREEING TO THE TERMS OF THIS AGREEMENT ON BEHALF OF AN ENTITY, SUCH AS YOUR EMPLOYER, YOU REPRESENT THAT YOU HAVE THE LEGAL AUTHORITY TO BIND THAT ENTITY AND "CUSTOMER" SHALL REFER HEREIN TO SUCH ENTITY. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THE TERMS OF THIS AGREEMENT, YOU MAY NOT USE THE LICENSED SOFTWARE.

This "Evaluation Agreement" does not provide a commercial license for the software after the "Evaluation Period". Use after the "Evaluation Period" is subject to the parties entering into and executing a separate agreement.

- "Customer" is ALLOWED to install and use the Software on a single computer for a period of 14 days after downloading the Software (the "Evaluation Period") for the sole purpose of evaluating the Software

- "Customer" is NOT ALLOWED to sublicense, lease, rent, loan, sell, distribute, make available or otherwise transfer the Software to any third party, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code for the Software

- if "Customer" desires to continue using the Software, "Customer" must pay the applicable fees and must enter into one of commercial licensing agreements with maxdz Software GmbH

- the Software is delivered electronically by downloading from maxdz Software GmbH Internet Site or from according GitHub repository. The Software is deemed accepted upon delivery

- maxdz Software GmbH is NOT OBLIGED to provide any support or consultation concerning the Software under "Evaluation License" terms. However we MAY at our discretion, provide "Customer" with certain support and consultation free of charge to assist in the evaluation activities of "Customer" under this "Evaluation Agreement"

- this "Evaluation Agreement" and your access to the Software will commence when you click an "Obtain for free" button in our Shop

- "Customer" MAY terminate this "Evaluation Agreement" at any time by removing the Software. If "Customer" breaches any provision of this "Evaluation Agreement", this Agreement will automatically terminate. Upon the expiration of the "Evaluation Period" or any termination of this "Evaluation Agreement", the license granted to "Customer" will terminate.

- NO WARRANTY; DISCLAIMER. "CUSTOMER" ACKNOWLEDGES AND AGREES THAT THE SOFTWARE IS BEING PROVIDED "AS IS", AND WITHOUT ANY WARRANTY OF ANY KIND. maxdz Software GmbH, ON BEHALF OF ITSELF AND ITS SUPPLIERS, HEREBY EXPRESSLY DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE SOFTWARE, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY WARRANTIES OR CONDITIONS ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

- LIMITATION OF LIABILITY. IN NO EVENT maxdz Software GmbH WILL BE LIABLE FOR DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, DIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH THIS EVALUATION LICENSE AGREEMENT OR YOUR INSTALLATION, USE, OR INABILITY TO USE THE SOFTWARE, OR FOR ANY ERROR OR DEFECT IN THE SOFTWARE, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. THE PARTIES HAVE AGREED THAT THESE LIMITATIONS WILL SURVIVE AND APPLY EVEN IF ANY LIMITED REMEDY SPECIFIED IN THIS AGREEMENT IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

- Export Restrictions. "Customer" understands that the Software may contain encryption technology and other software programs that may require an export license and that export or re-export of the Software to certain entities (such as a foreign government and its subdivisions) and certain countries is prohibited. "Customer" acknowledges that it will comply with all applicable export and import control laws and regulations and the foreign jurisdiction in which the Software is used and, in particular, "Customer" will not export or re-export the Software without all required licenses.

- this "Evaluation Agreement" will be governed by and construed in accordance with the laws of Germany. The application of the UN Convention of International Sale of Goods to this Agreement is disclaimed in its entirety. "Customer" agrees that Fuerth, Germany will be the exclusive venue for claims arising out of or in connection with this Agreement and all parties submit to the jurisdiction of the courts in Fuerth, Germany

Software Products Commercial License

THIS SOFTWARE COMMERCIAL LICENSE AGREEMENT ("COMMERCOIAL AGREEMENT") IS A LEGAL AGREEMENT BETWEEN maxdz Software GmbH AND THE INDIVIDUAL OR THE BUSINESS ENTITY ("CUSTOMER") WHO HAS EXECUTED AN COMMERCIAL LICENSE APPLICATION FORM REFERENCING THIS AGREEMENT. BY EXECUTING AN ORDER FORM, "CUSTOMER" EXPRESSLY ACCEPTS AND AGREES TO THE TERMS OF THIS AGREEMENT. IF YOU ARE AN INDIVIDUAL AGREEING TO THE TERMS OF THIS AGREEMENT ON BEHALF OF AN ENTITY, SUCH AS YOUR EMPLOYER, YOU REPRESENT THAT YOU HAVE THE LEGAL AUTHORITY TO BIND THAT ENTITY AND "CUSTOMER" SHALL REFER HEREIN TO SUCH ENTITY. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THE TERMS OF THIS AGREEMENT, YOU MAY NOT USE THE LICENSED SOFTWARE.

This "Commercial Agreement" does provide a non-exclusive, irrevocable, non-transferable commercial license for the software.

- "Customer" is ALLOWED to install and use the Software on a single computer for unlimited period after downloading the Software for use in own private and commercial purposes

- the Software is delivered electronically by downloading from maxdz Software GmbH Internet Site or from according GitHub repository. The Software is deemed accepted upon delivery

- maxdz Software GmbH provides 1 year free of charge forum and email support or consultations concerning the Software. - NO WARRANTY; DISCLAIMER. "CUSTOMER" ACKNOWLEDGES AND AGREES THAT THE SOFTWARE IS BEING PROVIDED "AS IS", AND WITHOUT ANY WARRANTY OF ANY KIND. maxdz Software GmbH, ON BEHALF OF ITSELF AND ITS SUPPLIERS, HEREBY EXPRESSLY DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE SOFTWARE, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY WARRANTIES OR CONDITIONS ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

- this "Commercial Agreement" will be governed by and construed in accordance with the laws of Germany.
